1.Who is selling to you
Vera non Vera is an artificial intelligence character. Behind her there's a real person, who sells you the products and is responsible for everything:
Dario Garilli, private individual (I don't have a VAT number)
Address: Via Azuni 70, 07046 Porto Torres (SS), Italy
Email: vera.nonvera@mail.grokbot.com
Phone: +39 351 948 5637
You can also find me on Instagram (@vera.nonvera).
2.What I sell and how much it costs
- freeAI avatar kit
A 14-page PDF guide. It opens with any PDF reader. It's no longer for sale: you get it free by sharing one of my reels in your story (Free kit). The Kit rules below apply to those who bought it earlier.
- 125 €Logo
A custom-made logo, in transparent PNG, JPG and SVG, with essential guidelines in PDF. 1 revision included.
- from 300 €Mini showcase site
A one-page site, responsive: it looks good on both phone and computer, with an address like nome.vera.here.now. From 300 €; 425 € with animations: smooth scroll transitions and animated entrances (this version also works on phone and computer). 1 round of changes included. Domain not included: you register it in your name, with automatic renewal (about 10-15 € a year). We connect it to the site. Online for at least 12 months (section 5).
Final price, outside the scope of VAT: occasional service. There are no other costs, apart from the site's domain, which you pay directly to whoever registers it.
The details of each product are on its page in the shop and form part of these conditions.
The merch (t-shirts, mugs…) isn't sold by me: it's sold by Spreadshirt in its Spreadshop store. For orders, shipping, returns and withdrawal, Spreadshirt's conditions apply.
3.Who for
I sell to individuals and businesses located in Italy or another country of the European Union. To buy you must be of legal age.
If you buy as a business or professional (for your work), some consumer rules, such as the right of withdrawal, do not apply by law: I tell you so at the right points.
If you buy as a business or professional and you are a withholding agent (sostituto d'imposta), you apply the 20% withholding tax (ritenuta d'acconto) to the fee (art. 25 Italian Presidential Decree 600/1973): you pay me 80% via the link I send you, you pay the 20% with an F24 form (tax code 1040) and then send me the Certificazione Unica. If you are an entrepreneur, before work starts you make the notification to the Labour Inspectorate required for occasional self-employed work.
If you have a VAT number but are not a withholding agent (for example you are in the flat-rate scheme), you don't apply the withholding: you pay the full price with the “P.IVA senza ritenuta” (VAT no., no withholding) link I send you. The “P.IVA sostituto d'imposta” link, with the net amount, is only for those who apply the withholding.
For your specific situation I recommend talking to your accountant.
4.How you buy
- On the product page press “Request a quote” (or DM me on Instagram) and tell me what you need. I confirm timing and price and, if you're happy, I send you the payment link privately.
- The link opens the secure payment page of Stripe (no account needed).
- Enter your email and, for custom work, what you need.
- Before paying you can check everything and correct it. If you change your mind, just close the page.
- You tick the box “Accetto i Termini di servizio e ho letto l'Informativa privacy” (I accept the Terms of service and have read the Privacy notice). Then you fill in the required fields (no option is pre-selected in the menus):
- your social network and username, so I can recognise you;
- if you are a consumer, the option with which you ask me to start straight away (section 7);
- for Mini site and Site with animations, confirmation that you have read section 9 on the site policies;
- if you buy for your business, thespecific approval of sections 9 and 11 (section 11). You can also enter your VAT number and tax code, if different.
- You press “Paga” (Pay): it is an order with an obligation to pay.
The contract is concluded when the payment goes through. You pay by card (also saved with Stripe's Link, if you use it), Apple Pay or Google Pay: no instalment or deferred payments.
Straight afterwards you receive from Stripe the receipt by email, with the summary. For Logo, Mini site and Site with animations I also send you a confirmation email with these conditions in PDF, before starting the work. Keep the receipt and the PDF: they are your copy of the contract. I don't publish your order anywhere; I keep a copy for legal obligations.
For each job you also receive my receipt for occasional services, outside the scope of VAT (art. 5 Italian Presidential Decree 633/1972). Above 77,47 € there is the 2 € revenue stamp, which I pay.
Language of the contract: Italian. I don't adhere to any codes of conduct.
5.When you receive what you bought
- Kit: it's free and can no longer be bought: you receive it by email within 24 hours.
- Logo, Mini site and Site with animations: usually within 48 hours, in any case within 7 days of receiving the material (for the Logo: name, colours and style; for the others: logo, photos and texts). You send it to me by replying to my email, by DM on Instagram (@vera.nonvera) or on the social network you choose.
The 48 hours are indicative: my commitment to you is 7 days.
If you don't send me the material within 30 days of payment, the order is closed and I refund you in full.
If for any reason I can't deliver, I refund you in full within 14 days.
How long the Mini site stays online
The site is published on here.now hosting, at an address like nome.vera.here.now. It stays online at least 12 months from delivery, and after that for as long as I keep the service running. If one day it could no longer stay online there, I'll let you know by email at least 30 days in advance. At any time, if you ask me, I'll send you all the site files, so you can publish it wherever you like (also with your own domain). Any technical interruptions of here.now don't depend on me: if they happen, I put the site back online as soon as possible (your legal rights remain unaffected).
6.Changes
- Logo: 1 revision included.
- Mini site and Site with animations: 1 round of changes included (you send me everything you want to change in one go).
Further changes are not included. If you want them, we talk about it first and you decide.
7.Right of withdrawal (changing your mind)
If you are a consumer (you buy for yourself, not for work), you have 14 days to change your mind, without giving reasons. The 14 days start from the day of purchase.
But be careful, because these are custom-made digital works:
Logo, Mini site, Site with animations
At payment there is a required field, not pre-selected, with this sentence:
“Inizia subito: lo chiedo espressamente e so che, a lavoro consegnato, perdo il diritto di recesso” (Start straight away: I expressly request it and I know that, once the work is delivered, I lose the right of withdrawal)
By choosing it you expressly ask me to start the work straight away.
- If you withdraw within 14 days and before delivery: I refund you in full, even if I've already started.
- Once I have delivered the complete work, the right of withdrawal ends.
How to withdraw
You have three ways, all valid. The message just has to be sent within the 14 days.
- The page Withdrawal from a contract: enter name, email, product and date, then press “Confirm withdrawal”. You'll immediately see the receipt with date and time and can download it; I'll also send you the confirmation by email, without delay.
- An email to vera.nonvera@mail.grokbot.com in which you clearly state that you want to withdraw.
- The form below (you don't have to use it).
Refund. I refund you within 14 days of you telling me you are withdrawing, with the same method you used to pay, at no cost to you. If you had already received files, stop using them.
If you buy for your business (business or professional), there is no right of withdrawal by law. The rules in section 5 still apply (full refund if I don't deliver).
8.If something's wrong (warranty)
If what you receive has a defect or isn't as I described it, write to me: I'll fix it or redo it for free. If that's not possible, I refund you in full or in part.
In addition, by law, you always have the legal guarantee of conformity for digital content and services: the seller is liable for defects that appear within 2 years of delivery (Italian Consumer Code, arts. 135-octies et seq.). It is free and none of these conditions reduces it.
9.The work is yours
- You can use the logo and site made for you however you like for your business, online and on social media too.
- I show them as examples in the shop only if you say yes.
- The Kit is for personal use: you can use it as much as you like, but not resell it or share the PDF.
- I use artificial intelligence tools. In Italy copyright protects what comes from human intellectual work: for parts generated solely by artificial intelligence, protection may be limited. I transfer to you all the rights I have in the work.
- I make every job to measure, but I can't guarantee that a logo can be registered as a trademark. If you want to register it, first search for similar trademarks.
You guarantee that you have the right to use the material you send me (logo, photos, texts).
If I make you a site: privacy, cookies and other policies. For the Mini site and for any work on a website these rules also apply (below I call “policies” the privacy notice, the cookie policy and the other legal texts of the site):
- I prepare the site's policies as a starting draft, written according to how the site works on the day of delivery. These texts are not legal, tax or professional advice: I am neither a lawyer nor an accountant. If the draft doesn't match how the site works on the day of delivery, I correct it for free (section 8).
- The content and files of the site are yours; the hosting and the address like nome.vera.here.now remain mine, under the conditions of section 5 (the domain you register remains yours). You are the data controller, that is, the one who decides how and why to use the data of the people who visit the site. You are responsible for your site's policies and for how you use it.
- As long as the site is on my hosting, for the personal data that passes through the site (technical hosting logs and any form messages) you are the data controller and I am the data processor (art. 28 GDPR). This section is our written agreement:
- subject and duration: keeping the site online, for the whole hosting period;
- data: visitors' browsing data and the content of forms; data subjects: site visitors and people who write to you;
- I process the data only according to your instructions (these conditions and your written requests) and I let you know if an instruction seems to me to be contrary to the law;
- anyone processing the data on my behalf is bound by confidentiality, and I protect the data with appropriate measures (art. 32 GDPR);
- you authorise me to use as sub-processor the hosting provider here.now (Beanstalk AI, Inc., United States, with the European Commission's standard contractual clauses). I'll let you know before changing it or adding others, and you can object;
- I help you respond to requests from visitors exercising their rights and I notify you without delay, within 48 hours of finding out, if there is a data breach;
- at the end of the hosting I delete the data or return it to you, as you prefer, subject to legal obligations;
- I give you the information needed to show that I comply with this section and allow you reasonable checks.
- As soon as you receive the site, even if it's already online, you undertake to have the policies checked by your lawyer, privacy consultant or accountant, to complete them with your details and to update them every time you add services (for example Google Business, maps, contact forms, statistics, newsletters) or change the way the site works. If you prefer, you can ask me to put the site online only after you've had them checked. In this case I deliver the site to you with a preview link: delivery counts from that moment (also for withdrawal, section 7), and the 12 months online in section 5 start from the day I put it online.
- If after delivery the laws or the rules of the Italian Data Protection Authority (Garante privacy) change, it's up to you to update them, or you can ask me to update them as a separate job, with a price and timing we agree beforehand (section 6).
- During the work I explain everything in chat: what data the site collects and what services it uses. That way you know what to have checked.
- If you ask me, I'll send you all the site files (the HTML files, usable offline too), as in section 5: so you, or your consultant, can edit the privacy notice and the other policies. If the site stays on my hosting, send me the updated texts and I'll put them online within 7 days; publishing texts you send me ready-made costs nothing.
- To the extent permitted by law, I am not liable for the consequences of policies you have not had checked, have not completed or have not updated, nor for changes made to the site after delivery by you or by people you have appointed. This does not apply in cases of wilful misconduct or gross negligence (art. 1229 of the Italian Civil Code) and does not remove or reduce the rights the law gives you as a consumer, including the legal guarantee of conformity (section 8).
When you pay for a Mini site or a Site with animations, at payment you confirm that you have read this section.
10.Complaints
For a complaint write to vera.nonvera@mail.grokbot.com or to my address (section 1). I'll reply within 7 days.
I don't adhere to any alternative dispute resolution (ADR) bodies. If after your complaint we don't reach an agreement, I'll indicate by email a competent ADR body (among those listed by the Italian Ministry of Enterprises and Made in Italy) and tell you whether I'm willing to use it. You can always go to court.
11.Law and courts
Italian law applies. If you are a consumer, the rights given to you by the law of the country where you live always remain valid, and the competent court is that of the place where you live. If you buy for your business, the competent court is that of Sassari.
If you buy for your business, at payment you specifically approve sections 9 and 11 (arts. 1341 and 1342 of the Italian Civil Code).
12.Privacy
You can find how I use your data on the page Privacy. The policies of the site I make for you, on the other hand, are yours: see section 9.
13.If I change these conditions
Your order is governed by the conditions published on the day you paid (the ones you receive in PDF with the confirmation).
Withdrawal form
Fill in and send this form only if you want to withdraw. It's easier to use the page Withdrawal from a contract.
